Terms of Agreement for Studios

1. Introduction and Scope

These Terms and Conditions ("Agreement") form a legally binding contract between you ("User", "you") and Cameralux ("Company", "we", "us", or "our"), governing your access to and use of the Cameralux platform, including all related services, websites, apps, and features (collectively, the "Platform").

The Platform is an international digital service offering a space for Users—viewers, performers, and third parties—to connect via live streaming, messaging, and other interactive services.

To be clear, this Agreement applies to all Platform users, regardless of their location, and covers all usage, whether as a guest or a registered member.

2. Definitions

For clarity, these terms mean the following in this Agreement:

• "Platform" refers to the Cameralux website, applications, and all associated services.
• "User" means any individual or entity who accesses or uses the Platform.
• "Performer" is any User who streams, uploads, or shares content via the Platform.
• "Studio" means any individual or organisation managing or supporting Performers.
• "Content" includes all material—videos, audio, text, images, or interactions—shared through the Platform.
• "Services" encompass all Platform functions, such as live streaming, messaging, and payment processing.

Definitions are broad to ensure legal enforceability and compliance with relevant laws.

3. Acceptance of Terms

By accessing, signing up for, or using the Platform, you confirm you have read, understood, and agree to abide by this Agreement.

If you disagree with any part, you must stop using the Platform immediately.

Continued use means you accept any updates or changes to these terms.

4. Nature of the Platform

The Platform acts solely as a technology facilitator enabling interactions between Users. We do not create, produce, or control any user-generated content.

To clarify, we are not:

• Employers of Performers or Studios;
• Content producers;
• Agents or representatives of Users;
• Participants in transactions between Users.

All content and interactions are independently generated by Users, who bear full responsibility for their conduct and legal compliance.

5. Eligibility and Age Requirements

The Platform is intended exclusively for adults aged 18 or over (or the legal age in your country, whichever is higher).

By using the Platform, you confirm you meet these age requirements.

We reserve the right to verify your age and identity and to restrict or terminate access if you fail to meet these criteria.

6. Account Registration and Security

Some Platform features require creating an account.

You agree to provide truthful, complete, and current information on registration and to keep your login details confidential.

You are responsible for all activity under your account and must inform us immediately of any unauthorised access.

7. Global Use and Jurisdiction

The Platform is accessible worldwide; however, it is your responsibility to ensure your use complies with your local laws.

We do not guarantee the Platform is legal or suitable everywhere.

Where local laws impose mandatory rules, those laws will apply without affecting the rest of this Agreement.

8. Modifications to the Agreement

We may update this Agreement at any time, with changes taking effect once published on the Platform.

You should review these terms regularly; continued use means you accept any updates.

9. Termination of Access

We reserve the right to suspend, limit, or end your access at our discretion, particularly if you breach this Agreement or legal requirements.

Termination may occur without prior warning if necessary to protect the Platform, its Users, or legal compliance.

You may also stop using the Platform at any time.

10. Relationship of the Parties

This Agreement does not create any partnership, joint venture, employment, or agency relationship between us and you.

You act independently and bear full responsibility for your activities on the Platform.

11. Account Creation and Access

Access to some Platform features requires a registered account. You agree to provide accurate, complete, and updated information when signing up.

We may refuse, suspend, or close accounts with false or misleading information.

12. Account Security and Responsibility

You alone are responsible for keeping your account login details safe.

All activity from your account is considered your responsibility.

Notify us immediately of any suspicious or unauthorised use.

We are not liable for any loss due to failure to protect your credentials.

13. Multiple Accounts and Restrictions

We may limit or block multiple accounts by the same User if used to bypass rules, payment systems, or enforcement.

We can merge, link, suspend, or close accounts that appear controlled by the same person or entity.

14. Verification and Identity Checks

You might need to complete verification steps, such as age and identity checks, to access certain features.

Failure to verify can lead to restricted access or account closure.

You agree to provide genuine documents when asked.

15. Account Suspension and Restriction

We may suspend or restrict accounts if:

• There’s suspected breach of this Agreement;
• Fraudulent or suspicious activity is detected;
• Verification is incomplete;
• Legal or regulatory reasons require it.

These actions can be temporary or permanent and may happen without notice to protect the Platform.

16. Account Termination

We may close your account at our discretion for breaches, legal issues, or payment problems.

You may also close your account by stopping use and requesting closure if available.

Termination does not free you from obligations accrued before closure.

17. Access Limitations

We may limit Platform access by region, law, or risk assessments.

We’re not liable if you cannot access the Platform due to these limits.

18. Technical Requirements and Availability

You need compatible devices, internet, and software to use the Platform.

We don’t guarantee uninterrupted or flawless access and may perform maintenance or updates affecting availability.

We’re not responsible for technical issues beyond our control.

19. Users (Viewers) — General Role

Viewers use the Platform to watch, engage with Performers, or communicate via available features, agreeing to comply with this Agreement and laws.

Viewers don’t create or manage content but can interact via live streams, messaging, tips, and other functions.

All User interactions are independent; we aren’t responsible for any User’s behaviour or declarations.

20. Acceptable Use and Conduct

You agree to use the Platform legally, respectfully, and responsibly.

The following are strictly forbidden:

• Harassment, abuse, threats, or intimidation towards any User;
• Soliciting or promoting illegal activities or banned content;
• Exploiting, manipulating, or coercing Performers;
• Using the Platform in breach of laws or regulations;
• Disrupting Platform operations, security, or integrity.

Violations may lead to immediate enforcement.

21. Prohibited Requests and Interactions

You must not request or engage in content or actions that:

• Involve minors or underage individuals;
• Break laws or regulations;
• Infringe intellectual property;
• Are non-consensual, exploitative, or abusive;
• Attempt to bypass Platform safeguards or moderation.

Such actions may cause account suspension and legal reporting.

22. User Financial Interactions

You can buy credits or pay for content, Performer interactions, or premium features.

All payments are voluntary and handled via Platform payment systems.

To be clear:

• Payments don’t grant ownership of content or Performers;
• Payments don’t guarantee specific experiences or outcomes;
• You’re responsible for checking transaction details before payment.

We aren’t liable for disputes over expectations or dissatisfaction.

23. Off-Platform Conduct and Circumvention

Attempting to move interactions or payments off the Platform to avoid fees or rules is prohibited.

This includes:

• Requesting Performers’ external contacts;
• Offering or accepting payments outside the Platform;
• Trying to bypass Platform protections.

Such breaches may lead to immediate account termination.

24. Fraud and Abuse by Users

Fraudulent or abusive acts are banned, including:

• Using stolen or unauthorised payment methods;
• Unjustified chargebacks or payment disputes;
• Exploiting Platform errors or promos;
• Creating accounts to evade enforcement.

We reserve the right to investigate and take enforcement action, including suspensions, financial limits, and reporting.

25. Privacy and Respect for Others

You must respect other Users’ privacy and rights, refraining from:

• Recording or sharing content without permission;
• Sharing personal details of others;
• Engaging in doxxing, stalking, or harassment.

Privacy violations may lead to legal action.

26. Enforcement and Consequences

We may take enforcement measures against Users breaking this Agreement, such as:

• Warnings or notices;
• Temporary suspensions;
• Permanent account closure;
• Restricting features;
• Removing content or interactions.

Actions are at our discretion and may occur without prior notice if needed to protect the Platform.

27. User Acknowledgment

By using the Platform, you accept full responsibility for your conduct and interactions and agree to these rules.

Non-compliance may lead to loss of access and enforcement actions.

28. Performers — General Role

Performers create, stream, upload, or share content on the Platform.

They operate independently and are responsible for their content, behaviour, and legal compliance.

We do not act as their producer, employer, or manager.

29. Independent Contractor Status

Performers agree they are independent contractors, not employees or agents of the Company.

We do not control how they create or deliver content.

Performers set their own schedules, styles, and engagement methods, within these terms.

30. Performer Responsibilities

Performers must:

• Ensure content complies with laws;
• Verify their own age and identity, and participants’ ages;
• Keep required records and documents;
• Meet tax and legal obligations;
• Ensure all content is consensual and lawful.

We are not liable for any Performer non-compliance.

31. Content Standards and Restrictions

Performers must ensure that all content they provide:

• Excludes minors or prohibited persons;
• Abides by laws;
• Is consensual and not exploitative;
• Respects intellectual property;
• Meets Platform rules and standards.

We reserve the right to remove or restrict violating content.

32. Earnings and Payments to Performers

Performers earn through User interactions like tips, private shows, subscriptions, and other monetised features.

Earnings are calculated per Platform policies.

Note:

• No guaranteed income;
• Earnings depend on User participation;
• Fees or deductions may apply as disclosed.

Payments are subject to verification and legal compliance.

33. Payment Adjustments and Withholding

We may adjust, withhold, or reverse payments if:

• Fraud is suspected;
• Chargebacks or disputes arise;
• Agreement violations are found;
• Required by law.

These protect the Platform’s financial integrity.

34. No Guarantees and Platform Limitation

We do not guarantee continuous service, specific earnings, or User engagement.

Performers understand the inherent risks of digital, user-driven interactions.

35. Prohibited Performer Conduct

Performers must not:

• Engage in illegal or forbidden acts;
• Misrepresent age or identity;
• Use undisclosed third parties to perform;
• Violate intellectual property rights;
• Attempt to bypass Platform systems or rules.

Violations may lead to immediate account termination.

36. Record-Keeping and Compliance

Performers are responsible for maintaining legally required records, including age verification and consent.

We do not act as custodians of these records.

37. Taxes and Financial Responsibility

Performers must handle all taxes and financial obligations from their Platform activities.

We do not withhold or report taxes unless legally compelled.

38. Suspension and Termination of Performers

We may suspend or end Performer accounts for breaches or legal issues, without prior notice if necessary.

39. Performer Acknowledgment

By performing on the Platform, Users accept full responsibility and agree to comply with all laws and this Agreement.

40. Studios — General Role

A Studio is an individual or entity managing or representing one or more Performers ("Studio Models") on the Platform.

Studios operate independently and are responsible for their business, staff, and legal compliance.

We do not manage or control Studios or their Performers.

41. Independent Contractor Status

Studios agree they act as independent contractors, not as our employees or agents.

We do not oversee Studio operations or employment practices.

Studios bear full responsibility for their activities and risks.

42. Responsibility for Studio Models

Studios are responsible for all individuals under their accounts, including:

• Verifying age and identity;
• Ensuring legal age compliance;
• Obtaining valid consent and contracts;
• Following labour, tax, and content laws;
• Supervising conduct and compliance.

We have no contractual ties with Studio Models and assume no liability for their actions.

43. Studio Model Agreements

Relationships between Studios and Models are governed by separate contracts.

We are not party to these agreements and bear no responsibility for disputes.

Studios must ensure these comply with laws and do not conflict with this Agreement.

44. Content Responsibility

Studios are solely responsible for all content shared via their accounts, including that of Studio Models.

This includes live streams, recordings, legal compliance, avoiding prohibited material, and respecting intellectual property.

We do not monitor all content and are not liable for Studio-generated material.

45. Payments and Earnings

Studios may earn from the activities of their Models.

Earnings follow Platform policies.

To be clear:

• No guaranteed earnings;
• Studios handle payments to Models;
• We are not responsible for Studio-Model payment disputes.

46. Payment Adjustments and Risk Controls

We may adjust or withhold payments if:

• Fraud or suspicious activity is found;
• Disputes or chargebacks occur;
• Agreement violations are detected;
• Legal requirements demand it.

Such actions protect the Platform’s financial integrity and are at our discretion.

47. Legal and Regulatory Compliance

Studios must comply with all laws where they operate or where their content is accessible.

This includes age verification, tax, labour, and broadcasting laws.

Compliance in one jurisdiction doesn’t excuse obligations in others.

48. No Control by the Company

We do not direct when, how, or what Studios do.

Studios retain full control and responsibility for compliance.

49. Fraud and Abuse Prevention

Studios must not:

• Artificially inflate activity or earnings;
• Coordinate fraudulent transactions;
• Use unauthorised payment methods;
• Exploit Platform systems.

Violations can lead to immediate sanctions, including account closure.

50. Indemnification

Studios agree to indemnify and protect us from any claims or damages arising from:

• Actions by the Studio or Models;
• Legal breaches;
• Agreement violations;
• Content shared via Studio accounts.

51. Suspension and Termination

We may suspend or terminate Studio accounts for breaches or legal reasons, possibly without prior notice.

52. Studio Acknowledgment

Studios accept full responsibility for their activities and agree to comply with all laws and this Agreement.

53. User-Generated Content

The Platform allows Users, including Performers and Studios, to create, upload, and distribute content ("Content").

All Content is independently produced by Users; we do not create or produce it.

Users are fully responsible for their submitted Content.

54. Ownership of Content

Users retain ownership of the Content they provide.

This Agreement does not transfer ownership to us.

Users must ensure they have rights and permissions to use and share their Content.

55. Licence Grant to the Company

By uploading Content, Users grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, transmit, reproduce, and distribute it to operate and promote the Platform.

This licence covers streaming, displaying, marketing, and adapting Content for technical compatibility.

This licence doesn’t transfer ownership and is limited to Platform operation.

56. User Representations and Warranties

Users confirm that:

• They own or have rights to their Content;
• Content complies with laws;
• All people shown have given informed consent;
• All participants are adults;
• Content does not infringe third-party rights.

Users are fully liable for breaches of these assurances.

57. Prohibited Content

Uploading or sharing Content that:

• Involves minors or illegal acts;
• Is non-consensual or exploitative;
• Violates intellectual property;
• Is fraudulent or deceptive;
• Breaks laws or Platform policies;

Such Content may be removed or restricted without notice.

58. Monitoring and Moderation

We don’t actively review all Content but may remove or restrict it if it breaches this Agreement or laws.

We’re not liable for failing to monitor all Content.

59. Intellectual Property Rights of the Platform

All Platform IP—software, design, trademarks—are owned by us or our licensors.

Users get a limited, non-transferable licence to use the Platform as intended.

Copying or exploiting the Platform without permission is forbidden.

60. Content Removal and Enforcement

We may remove or block access to Content violating these terms or laws, without prior notice where needed.

Removal does not imply legal liability.

61. Repeat Violations

Users repeatedly breaking rules may face escalating sanctions, including permanent account closure.

We decide violations at our sole discretion.

62. Content Indemnification

Users agree to indemnify us from claims related to their Content, including IP infringements or privacy breaches.

63. Payments Overview

The Platform lets Users buy credits or pay for services, and allows Performers and Studios to earn money.

Payments are processed by third-party providers; we are not a financial institution.

All transactions relate to digital services, not physical goods.

64. Credit System

Users may purchase digital credits to access services or interact with Performers.

Credits have no cash value outside the Platform and can’t be transferred.

Except where legally required, credits are non-redeemable for cash.

65. Payment Methods

The Platform supports multiple payment options, including cards, digital wallets, and alternative methods.

Payments are subject to provider verification and authorisation.

We are not responsible for declined or failed transactions.

66. Transaction Finality

All purchases are final once processed.

By paying, Users accept that services are delivered immediately and cannot be reversed.

This applies to content, live interactions, and subscriptions.

67. Refund Policy

Refunds are generally not given after service access or use.

Exceptions include:

• Unauthorised payments;
• Duplicate charges;
• Technical failures preventing service delivery.

Refunds are not provided for:

• User dissatisfaction;
• Failure to cancel subscriptions;
• Completed interactions or consumed services;
• User mistakes or voluntary purchases.

68. Subscriptions and Recurring Billing

Subscriptions may auto-renew.

Users must cancel before renewal to avoid charges.

No refunds for failure to cancel before renewal.

69. Live Services and Interaction Risks

Live services depend on real-time conditions and may suffer interruptions or technical issues.

Note:

• Temporary disruptions don’t guarantee refunds;
• We don’t promise uninterrupted sessions;
• Users accept risks of live digital engagement.

70. Tips and Voluntary Payments

Tips are voluntary gifts from Users to Performers.

All tips are final and non-refundable.

Tips don’t guarantee specific Performer actions or content.

71. Chargebacks and Disputes

Users agree not to dispute valid transactions.

Unjustified chargebacks breach this Agreement.

We may:

• Contest disputes;
• Suspend or close accounts;
• Recover costs where allowed by law.

72. Fraud Prevention

We use fraud detection systems to monitor for unauthorised or suspicious actions.

Users consent to monitoring by using the Platform.

High-risk transactions may be blocked.

73. Payment Adjustments

We may adjust or reverse transactions if:

• Fraud is suspected;
• Chargebacks occur;
• Errors are found;
• Legal obligations require.

Such changes may affect User balances and earnings.

74. Currency and Fees

Transactions may incur currency conversions and fees from payment providers.

We do not control exchange rates or external fees.

Users should review all details before paying.

75. Taxes and Financial Responsibility

Users, Performers, and Studios are responsible for any taxes on Platform transactions.

We do not handle tax reporting or payments unless legally required.

76. Payment Enforcement

We may enforce payment-related rules, including suspensions or financial restrictions, in cases of fraud or abuse.

77. Platform Rules and Compliance

All Users must comply with this Agreement and the law.

We have zero tolerance for illegal activity, exploitation, and abuse.

Users must ensure their conduct complies with all applicable regulations.

78. Violations of the Agreement

Violations occur when Users breach these terms, laws, or Platform rules.

Examples include:

• Submission of prohibited or illegal content;
• Fraud or abuse;
• Payment rule violations;
• Bypassing safeguards;
• Harassment or abuse of others.

79. Enforcement Actions

We may respond to breaches with:

• Warnings;
• Content removal;
• Temporary or permanent suspensions;
• Feature restrictions;
• Payment adjustments.

Actions may be immediate and without notice when necessary.

80. Discretion and Case-by-Case Assessment

Enforcement is at our sole discretion, based on violation severity, frequency, and circumstances.

We may consider User history and intent.

We’re not obliged to treat all cases identically.

81. No Fixed Penalty Structure

We do not use fixed penalties or fines.

Measures are applied proportionally to each case to ensure fairness and legal compliance.

82. Financial Measures and Adjustments

For financial breaches, we may:

• Withhold or reverse payments;
• Adjust balances;
• Restrict payment access;
• Recover losses where lawful.

These protect Platform finances.

83. Cooperation with Authorities

We cooperate with law enforcement and regulators as required by law, including sharing relevant information.

84. Review and Appeal

Users may request review of enforcement actions by contacting support.

We may respond at our discretion.

Requesting a review does not guarantee reversal.

85. Platform Protection Measures

88. Protection of Minors (Zero-Tolerance Policy)

We strictly prohibit:

• Any content involving minors;
• Age or identity misrepresentation;
• Activities promoting minor involvement.

Violations may lead to immediate account closure and legal reporting.

89. Age Verification

We may require age checks before certain features are accessible, using:

• Government ID;
• Third-party verifications;
• Facial recognition or liveness tests;
• Self-declaration where allowed.

Failure to verify may restrict or end access.

90. Jurisdiction-Based Verification

Verification requirements vary by jurisdiction and legal demands.

91. Record-Keeping Obligations

Performers and Studios must keep all legally required records, including age and consent documentation.

We do not serve as primary record keepers.

92. Content Compliance Requirements

All Content must obey laws and exclude illegal, non-consensual, or banned material.

Users ensure their Content meets these standards.

93. Data Protection and Privacy Compliance

We handle personal data per data protection laws such as GDPR, CCPA, and LGPD where applicable.

Your data may be used for account management, payments, fraud prevention, and legal compliance.

94. Cooperation with Authorities

We cooperate with law enforcement and regulators by providing information as required.

95. Compliance Enforcement

By using the Platform, you accept responsibility for following all laws and these rules.

This Agreement serves as a global terms-of-service framework applicable across jurisdictions.

You are responsible for complying with laws relevant to your location.

Mandatory local laws override only to the extent required, without affecting the rest of this Agreement.

98. Limitation of Liability

To the extent allowed by law, we are not liable for indirect, incidental, consequential, special, or punitive damages from using the Platform.

• Business interruptions;
• Losses from User interactions or content;
• Technical failures or downtime.

Our total liability is limited to any amounts you’ve paid us, where applicable.

99. Disclaimer of Warranties

The Platform is provided "as is" and "as available".

We make no guarantees on availability, reliability, or suitability.

You use the Platform at your own risk.

100. Indemnification

You agree to indemnify and hold us harmless from claims, damages, or expenses arising from:

• Your use of the Platform;
• Breaches of this Agreement;
• Legal violations;
• User-generated content.

101. Governing Law

This Agreement is governed by the laws of England and Wales.

This applies regardless of your location, subject to mandatory local laws.

102. Jurisdiction and Dispute Resolution

Disputes are subject to the exclusive jurisdiction of courts in England and Wales, unless law requires otherwise.

We may seek legal remedies in any jurisdiction necessary to protect our rights.

103. Severability

If any part of this Agreement is found invalid or unenforceable, it will be interpreted as broadly as possible, and the rest will remain effective.

104. No Waiver

Failing to enforce any part of this Agreement does not waive our rights.

By using the Platform, you confirm you have read, understood, and accepted this Agreement.

We reserve all rights not expressly granted.

The Agreement also outlines payment rules, refund policies, fraud prevention, dispute management, and Platform integrity measures. Strict safeguards protect minors, prevent unlawful content, and ensure compliance with record-keeping and legal obligations across jurisdictions.

Users recognise the Platform’s complex legal landscape and commit to ongoing compliance with this Agreement and all applicable laws.

By using the Platform, Users confirm they have read, understood, and agreed to these terms, including future updates.

If you do not agree, you must stop using the Platform immediately.

This Agreement is intended to maximise legal effectiveness, enforceability, and protection for all parties. It is the definitive legal document governing User and Company relations.

We reserve all rights not expressly granted and retain full authority to enforce this Agreement within the law.
